1. Who we are, who you are
These terms are between Safewire Payments Ltd, a company incorporated in British Columbia, Canada (registration BC1409745) (“Safewire”, “we”, “us”), and the business that registers as a merchant on the Safewire network (the “Merchant”, “you”). By registering, installing Safewire point-of-sale software, or using the merchant portal, you confirm you act for a business and that the person accepting has authority to bind it.
Safewire is a technology company providing self-custodial payment infrastructure. We are not a bank, we hold no client funds, and nothing in these terms makes us a party to your sales.
2. The Services
We provide: the merchant portal; point-of-sale software; payment infrastructure through which customers pay you directly; records and reporting tools; and optional modules you may enable (for example online payments, passes and offers, and cash services). All of it is software and technology services.
3. Independent business; no agency
You are an independent business. Nothing in these terms creates an agency, partnership, joint venture, or employment relationship. You do not act on Safewire's behalf, and Safewire does not act on yours, except as expressly stated for the provision of software services.
4. Direct settlement; no custody
Customer payments settle directly from the payer's wallet to your own self-custodial account, in the same transaction. Safewire never holds, receives, or settles your funds and owes you no money in respect of customer payments. Blockchain payments are irreversible: a refund is a new payment you make. Your treasury accounts are controlled by your own signers; every movement of your funds requires their signatures, and Safewire cannot move, freeze, or recover your funds.
5. Cash services are your own business
Where you choose to enable cash services at your counter (exchanging cash and stablecoin with customers), you provide that exchange as principal: you set your own rate and commission and retain it in full. You are solely responsible for determining whether such services require registration, licensing, or reporting in the places where you operate, and for obtaining and maintaining whatever is required. Enabling cash services requires the attestation presented in the portal.
6. Your obligations are yours
You are responsible for your own legal, tax, regulatory, and reporting obligations in every jurisdiction where you operate, for the goods and services you sell, and for your dealings with your customers. Safewire provides transaction records and reporting tools to support you in meeting your obligations; providing tools is not the performance, or assumption, of your obligations.
7. Verification and network standards
Your business is verified before transacting, and network standards and usage limits apply, modeled on Canadian federal financial-crime standards. You agree to provide truthful, current information and to keep it updated. Identity verification of individuals is completed per person: each beneficial owner verifies their identity through their own wallet.
8. Fees
Safewire charges a network fee on transactions, per the schedule shown in the portal. We take no spread or commission on any exchange of value, including your cash services. Fee changes take effect after notice in the portal.
9. Your staff and devices
You control which of your staff may use your terminals and which capabilities they hold (including till access and cash services), and you are responsible for their use of the Services. Install codes and till PINs are credentials: keep them secure, and tell us promptly if a device is lost or compromised.
10. Records
We make complete records of your transactions on the network available to you, with reporting exports, and retain them for at least five years. Export what you need at any time, including before closing your account.
11. Suspension is of services, never funds
We may suspend or limit our services to you for breach, risk, or legal reasons. Suspension never affects funds in your own accounts, which remain under your sole control at all times.
12. Prohibited activity
The Services may not be used in connection with unlawful goods or services, the proceeds of crime, terrorist financing, sanctioned persons or jurisdictions, or fraud. You agree to respond to reasonable information requests connected to network integrity.
13. Term and ending
Either party may end these terms at any time. Ending them does not affect your funds (section 4) or your access to exports of your records (section 10). Sections that by their nature survive — including 4, 6, 10, 14, and 15 — survive termination.
14. Liability
The Services are provided “as is”, without warranties of any kind, to the maximum extent the law allows. To the extent permitted, Safewire's total aggregate liability arising out of or in connection with the Services is limited to the network fees you paid to Safewire in the twelve months before the event giving rise to the claim, and Safewire is not liable for indirect or consequential loss, loss of profit, or losses arising from blockchain or third-party failures, from your loss of keys, or from your dealings with your customers. Nothing excludes liability for fraud or any liability that cannot be excluded by law.
15. Indemnity
You will indemnify Safewire against liabilities, costs, and claims arising from your business, the goods and services you sell, any cash services you provide, your breach of these terms, or your violation of law.
16. Changes
We may update these terms; material changes will be notified in the portal before they take effect. Continued use after the effective date is acceptance.
17. Governing law
These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there. The parties submit to the exclusive jurisdiction of the courts of Vancouver, Canada.
